Bayside May Founder Update

Dear Bayside Community Homeowner,

We are checking in early this month to bring your attention to new features that have been added to the BaysideFounder.com website. Two items we spoke about in our last update were the Calendar feature and Contact List under Key Documents and Announcements.

Calendar

We've recently integrated a Calendar into our website to provide convenient access to upcoming Association meetings, Founder led training sessions, and other important dates related to the Bayside Founders and our ongoing transition of the community. We encourage you to stay engaged or become more involved in your community. This is an opportune moment to delve deeper into what Bayside has to offer, whether by joining a committee or considering a Board position by year-end. Exciting developments await at Bayside, and we invite you to be a part of it all.

Transition Update

We are near the completion of transitioning Bayside from a Founder-controlled Board to a Resident-controlled Board by year-end. To provide clarity and insight into the roles and responsibilities within Bayside, we're sharing our organizational chart below, and here for a larger view.

Master-planned developments, like Bayside, require time not just for development but also for transition. Our journey towards this transition began over two decades ago with the establishment of our initial Homeowner led Committees and the integration of our first Owner Director near the beginning of community development. With the involvement of many homeowners and resident volunteers over the years, the community’s residents have been involved in governance, operations, and overall management of the community for quite some time. In addition, to ensure that we address the needs and concerns of Bayside residents, we're working closely with your Owner Directors, David Williams and David Chun, on other final transition related items. Our approach emphasizes collaboration and mutual understanding, aiming for fair and constructive resolutions. We remain dedicated to ensuring a smooth transition process so that Bayside continues to flourish under homeowner control.

Bayside Community – Agenda Items Discussed at Board Meeting

During the recent Bayside Board meeting, three specific agenda items sparked discussion, and we'd like to address them here.

1. Establishment of Independent Transition Committee: In 2021, the concept of the Independent Transition Committee Resolution transpired which would delegate full Board authority to the two Owner Directors. Ultimately the Resolution was never adopted by the HOA Board as it was not supported fully by all Owner Directors at the time. In 2023, the topic resurfaced by the HOA Board but was also not adopted due to lack of support by the Founder Directors. As referenced in the HOA Board meeting minutes from May 11, 2023, the Founder Directors oppose the Resolution based on the following primary areas of contention:

1. The requirement to establish such a committee is not required by DUCIOA nor is the creation of the Independent Transition Committee required;

2. Providing full Board authority to only the two Owner Directors to make decisions and negotiate specific to transition matters which will impact every member within the community;

3. The ability for the two Owner Directors to spend Association funds at their discretion and without limitations; and

4. The potential for the two Owner Directors to file a lawsuit and thus spending Association funds, without approval of 75% of the Voting Delegates as required in Section 20.3 of the Charter following termination of the Founder Control Period.

At the April 2024 Board Meeting this topic was discussed again and was opposed by the Founder Directors as the reasons for denying the discussed motion in 2023 still exist today. With that said, the Founder Directors continue to support the Owner Directors taking the lead to discuss final transition related matters with the Founder as well as the establishment of an advisory Transition Committee consisting of homeowners to help the Owner Directors in those discussions.

2. Request for Transition Updates on TownSq: The Founder Directors opposed this motion because they clarified that TownSq is currently utilized by the Bayside HOA Board to communicate with residents on Association and Board business matters. Additionally, all communications are collectively reviewed and approved by the entire Board to ensure unified messaging by the Board which strives for cohesive and harmonious communications. They highlighted that the Owner Directors have been actively engaged in transcribing transition updates for the recent monthly Board communications on TownSq without any interference. Therefore, the Founder Directors see no need to approve this motion as the current process is functioning effectively already.

3. Townhome Roof Program: The Founder Directors opposed the motion that the Townhome Maintenance Committee, with the Board’s support, send a letter to Michelle Freeman requesting a meeting to discuss the Townhome Roof Program because they noted that a letter had already been sent requesting this meeting. The Owner Directors asked the board to consider reinstating the townhouse roof and paint program without a vote by the homeowners. The Founder Directors stated that changes to the Townhouse Roof Program should be decided by the Board and homeowners now, not the Founder. The Townhome Maintenance Committee, working with the Board, has finalized the proposed HOA-managed Townhome Roof Program to be presented to homeowners for consideration, which will require a 67% affirmative vote of all townhome owners for approval. As such, the Founder Directors stated that further discussions or external meetings are unnecessary at this stage, and the focus should be on the upcoming vote using VOTE HOA NOW for community decision-making so that townhome owners can decide this issue for themselves.

Overall, the Founder Directors opposition stems from a thorough consideration of existing structures and processes, that ensure efficient governance and decision-making by the Bayside community on its own behalf successfully.

Eagle Update

Coastal Crossing, part of the original Bayside Master Plan, showcases a harmonious blend of development and environmental stewardship. The project paused for over fifteen years to accommodate the burgeoning bald eagle population, a testament to our commitment to conservation.

Collaboration with the U.S. Fish and Wildlife Services ensured that construction aligns with established guidelines, guided by an Eagle Incidental Take Permit. Strict construction and timing restrictions outside the nesting season minimize disturbance to the eagle nest, highlighting our dedication to sustainable practices. In December 2023 there were sightings of eagles at the nest and recent sightings of new eaglets reaffirm the success of this coexistence. This careful approach highlights the possibilities of thoughtful planning and collaboration, demonstrating how development can thrive while prioritizing environmental stewardship and conservation efforts.
